VIRTUAL LIBRARY ACCESS AGREEMENT
By
gaining access to the virtual library of private placement
offering documents through use of the login identification and
password provided to me by Emergent Financial Group (“Emergent”)
for that purpose, I am representing and acknowledging to
Emergent as follows:

I am an
“accredited investor” as such term is defined under the
Rules and Regulations of the Securities and Exchange
Commission;

I will not
provide my login identification and password to any
other person;
-
I will
utilize such login and password only for purposes of
reviewing the private placement memoranda which may be
accessed through such virtual library, and acknowledge
the any investment I make based upon such review will
only occur after I have thoroughly reviewed all offering
materials with respect to a particular issue;

I
understand that the issuer of the securities referred to
in each individual offering is the source of the
information;

I
understand that the issuer involved in a particular
offering may need to qualify such offering for
exemptions from registration requirements of the state
within which I reside and my review of the offering
documentation is not to be deemed the making of an offer
to me and that I must notify Emergent of my interest in
receiving such an offering; and
-
By my use
of the virtual library, I am making the foregoing
representations and acknowledgements to Emergent and
undertake to abide by the limitations as to use of the
on-line library and its contents consistent with the
foregoing acknowledgements and representations.
